Terms and Conditions Covering Survey Submission

  1. Submission of the survey is a legal agreement between you (“you” or “Company”), and Superna, LLC, a Delaware Limited Liability Company

  2. THIS IS A LEGAL AGREEMENT. BY SUBMITTING THE SURVEY, YOU ARE ACCEPTING AND AGREEING TO THIS AGREEMENT ON BEHALF OF YOURSELF OR THE ENTITY YOU REPRESENT IN CONNECTION WITH THE ACCESS. YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ACCEPT AND AGREE ON BEHALF OF YOURSELF OR THE ENTITY YOU REPRESENT. IF YOU DO NOT AGREE WITH ANY OF THE PROVISIONS OF THESE TERMS, YOU SHOULD NOT SUBMIT THE SURVEY.

  3. Existing customers must already have Enterprise licenses and an active maintenance contract to be eligible

  4. New customers must sign EULA/support agreement and SOW for services, before license keys will be provided if awarded.

  5. New customers must agree to follow up to hear about products or services if response indicates a potential new customer, if answered new customer or no to deployment of Eyeglass question.

  6. Award is non transferrable to another legal entity.

  7. Cannot be substituted for any other product or service

  8. Cannot be returned for cash value or any other substitute

  9. Includes 1 year of technical support and maintenance

  10. Must be redeemed and meet all conditions outlined on this page within 60 days of being notified. Failure to comply with all terms and conditions, Superna reserves the right to withdraw the offer with no recourse.

  11. The selected winner must not be deemed a competitor and will be at Superna's sole discretion to provide the award.

  12. One entry for each legal entity excluding Dell EMC. If multiple entries per legal entity are found the first response will be used.

  13. Submissions past the cut off date will not be considered for the award.

  14. Survey email address must use legal business email address. All personal emails will not be eligible.

  15. Partners and Dell EMC employees can give away to customers and must provide a single customer name.  Customer must accept in writing to sales@superna.net

  16. Selected winner must accept the awarded license and service and provide notice of acceptance to superna at sales@superna.net within 60 days of notice of award, after which the offer is automatically terminated.

  17. If all terms are not met, at Superna's sole discretion may terminate the offer.

  18. A single Isilon cluster will be licensed for Ransomware Defender with a single ECA installation, with the following SOW's required before the award will be provided (Install Eyeglass, Install Ransomware Defender)

  19. Company may provide to Superna suggestions, comments and feedback regarding the Software and Services, including but not limited to usability, bug reports and test results, enhancements, feature ideas, new product ideas with respect to the survey ("Feedback"). Company grants to Superna, under all of its intellectual property and proprietary rights, the following worldwide, non-exclusive, perpetual, irrevocable, royalty free, fully paid up rights: (i) to make, use, copy, modify, and create derivative works of, the Feedback as part of any Superna’s offering, (ii) to publicly perform or display, import, broadcast, transmit, distribute, license, offer to sell, and sell, rent, lease or lend copies of the Feedback (and derivative works thereof) as part of any Superna’s offering, (iii) solely with respect to all copyright and trade secret rights, to sublicense to third parties the foregoing rights, including the right to sublicense to further third parties.
